Terms & Conditions
These terms describe the current StrategyFive service model. Existing written agreements continue to apply unless they are renewed, replaced, or varied in writing.
Company Details
StrategyFive is a trading name of Nordic Creative Limited, registered in England and Wales under company number 07580121. VAT number: 485 7059 50.
Current Services
StrategyFive provides WooCommerce CRO Pilots, managed CRO consultancy & related monthly services. Work may include conversion research, UX review, analytics & measurement review, technical development, performance work, testing support, reporting & implementation advice.
Services are scoped by written proposal, order form, statement of work, or other written agreement. We do not provide unlimited work or public revenue share arrangements. Any guarantee applies only where it is expressly included in the relevant written agreement and the conditions below are met.
Guarantee Terms
Where the StrategyFive 15% RPV guarantee applies, the target is at least 15% revenue-per-visitor uplift against the agreed locked baseline and measurement rules. If the target is not reached inside the agreed active measurement window, StrategyFive will continue working on the agreed optimisation scope at no extra fee until the target is reached, subject to the same conditions and exclusions.
The guarantee is a work-continuation guarantee, not a refund promise. It does not guarantee profit, total revenue, traffic volume, advertising performance, stock availability, margin, or any result outside the agreed measurement boundary.
For managed Pro and 3-Month Roadmap clients, the standard guarantee window is 90 active days with up to 90 further days of work at no extra fee if the target is missed. For the Pilot, the standard measurement window is six weeks with up to six further weeks of work at no extra fee if the Pilot target is missed.
The guarantee may pause or stop applying where measurement is materially affected by promotions, stock-outs, major traffic mix shifts, broken or changed tracking, client-side edits, delayed approvals, blocked access, conflicting third-party work, or other changes outside StrategyFive control. It applies only to fully managed StrategyFive Pilot, Pro, or 3-Month Roadmap work, not to in-house implementation, another agency’s implementation, or mixed-priority programmes unless agreed in writing.
Fees & Billing
Fees, billing periods, payment terms, taxes, expenses & cancellation terms are set out in the relevant written agreement. Monthly Pro fees are billed in advance from the start date and each monthly anniversary, for the month ahead.
The Pilot is a paid fixed-scope first engagement, billed upfront.
The 3-Month Roadmap is a fixed three-month block, paid upfront, with the agreed work planned across that period.
Published prices use GBP as the base price. Where the website shows EUR or USD, those figures are display conversions using StrategyFive’s configured exchange rates and rounding rules; final invoicing currency and amounts are confirmed in the relevant written agreement.
Measurement & Reporting
Analytics data supports prioritisation, reporting & decision making. Where the guarantee applies, the baseline, active days, comparison method, exclusions and decision rules must be agreed in writing before the measurement window is relied on.
The client remains responsible for providing accurate access, analytics permissions, trading context, campaign information & timely approval where these are needed to interpret results correctly.
Client Responsibilities
- Provide accurate information, required access, brand guidance & timely decisions.
- Maintain any third-party licences, subscriptions, advertising accounts, payment gateways & operational systems unless expressly agreed otherwise.
- Review & approve higher-risk changes before release where approval is requested.
- Tell us about other site changes, campaigns, tracking changes or operational issues that may affect measurement.
Legacy Hosting & Platform Services
Hosting & platform services are legacy services for existing clients only. StrategyFive is not accepting new hosting-only or platform-only clients.
Existing hosting & platform clients continue to be supported under their current agreement unless & until a renewal, migration, or replacement arrangement is agreed in writing.
Unless a current written agreement states a different notice period, either party may end legacy hosting or platform services by giving at least 30 days’ written notice. Fees remain payable up to the end of the notice period, together with any approved migration work, third-party charges, domain, licence, storage, overage, or out-of-scope support costs already incurred.
Where a client chooses to move to another provider, the client is responsible for appointing the new provider, maintaining any required domain, DNS, email, plugin, software and third-party service accounts, and giving StrategyFive the access reasonably needed to support the migration. StrategyFive will provide reasonable cooperation during the notice period, but migration work outside the agreed hosting support may be charged separately where confirmed in writing.
Legacy hosting depends on third-party infrastructure, networks, registrars, software and security services. StrategyFive will use reasonable care and skill in providing the agreed service, but cannot guarantee uninterrupted availability or the behaviour of third-party systems. We may suspend or limit hosting where reasonably needed for security, legal compliance, non-payment, abuse prevention, or to protect the site, other clients, or the hosting environment.
Scope Changes
Any work outside the agreed scope requires written approval before it is started. Larger changes may need a separate proposal, revised monthly scope, or one-off project scope.
Confidentiality & Data Protection
Both parties must protect confidential information received through the engagement. Where personal data is processed, each party must meet its obligations under applicable data protection law & any agreed data processing terms.
Third-Party Services
WooCommerce stores usually depend on third-party plugins, services, payment gateways, analytics platforms, hosting providers, email tools & advertising platforms. StrategyFive is not responsible for third-party outages, policy changes, pricing changes, or defects outside our control.
Liability
Nothing in these terms limits liability where it would be unlawful to do so. Subject to that, StrategyFive is not liable for indirect loss, loss of profit, loss of revenue, loss of data, or business interruption except where a separate signed agreement states otherwise.
Governing Law
These terms and any non-contractual disputes are governed by the laws of England and Wales. The courts of England and Wales have non-exclusive jurisdiction unless a more specific written agreement states otherwise.
Agreement Priority
If a signed proposal, statement of work, order form, data processing agreement, or client contract contains more specific terms, those written terms take priority for that engagement.
